The short version

This summary is here to help you read the terms. It is not a substitute for them: the full Terms of Use below are the binding agreement.

Agreement to these terms

These Terms of Use (the "Terms") are an agreement between you and Dandy Dev, Ltd., a Colorado company ("Puck Party," "we," "us" or "our"). They govern your use of puckparty.com, the Puck Party waitlist, and any related pages, forms and emails (together, the "Site"). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

The Puck Party app at puckparty.app is governed by its own Terms of Service, which you will be asked to accept when you create an app account.

Eligibility

You must be at least 13 years old to use the Site or join the waitlist. If you are under 18, or under the age of majority where you live, you may use the Site only with the permission of a parent or legal guardian who agrees to these Terms on your behalf. The Site is intended for people in the United States.

No affiliation with the NHL

Puck Party is an independent product. It is not affiliated with, endorsed by, sponsored by or approved by the National Hockey League, the National Hockey League Players' Association, any NHL club, or any other league, team, player or broadcaster. NHL, the NHL Shield, and NHL club names, logos and marks are trademarks of the National Hockey League and its clubs. Player names are used only to identify the players. All other trademarks belong to their respective owners. Any reference to them on the Site is for identification only and does not imply any endorsement.

Free; not gambling

The Site and the waitlist are free. Puck Party is a game played for fun and bragging rights. It is not gambling, sports betting or a contest of any kind. No purchase, deposit or payment is required or accepted, and no prize, money or other thing of value is awarded. Nothing on the Site is an offer or solicitation to place a wager, and nothing on the Site is betting, financial or other professional advice.

Information on the Site

The Site includes information about NHL games, clubs, players and statistics. This information is drawn from publicly available sources and from our own calculations. It may be delayed, incomplete, inaccurate or out of date, and it may change without notice. Statements about past results are not predictions of future results. The Site is provided for entertainment and general information only, and you rely on it at your own risk.

The waitlist

Joining the waitlist means we may invite you to the Puck Party app when it becomes available to you. It does not guarantee access to the app, access at any particular time, or any particular features. We may decide the order of invitations, limit them, change or end the waitlist, or remove any entry, at any time and for any reason. Your waitlist entry is personal to you and may not be sold or transferred. You must give us an email address you control.

Acceptable use

You agree not to, and not to help anyone else to:

Our content and intellectual property

The Site and its content, including its text, graphics, designs, logos and software, are owned by Puck Party or its licensors and are protected by intellectual-property laws. "Puck Party" and our logos are our trademarks. We give you a limited, personal, non-exclusive, non-transferable and revocable license to view the Site for your own non-commercial use. We reserve all rights not expressly granted.

Messages and feedback

If you send us a message, idea, suggestion or other feedback, you agree that we may use it for any purpose without restriction or compensation to you, and you confirm that you have the right to send it. We have no obligation to keep feedback confidential or to act on it.

Third-party links and services

The Site may link to or rely on websites and services that we do not control, such as social networks. We are not responsible for their content, policies or practices, and your use of them is governed by their own terms.

Changes to the Site and these Terms

We may change, suspend or discontinue all or part of the Site at any time, with or without notice. We may also update these Terms. When we do, we will change the "Last updated" date above, and if a change is material, we will give additional notice, for example on the Site or by email. Changes take effect when posted. Your continued use of the Site after changes take effect means you accept them. Changes to the dispute-resolution section do not apply to a dispute that you or we had already notified the other of before the change was posted.

Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT AND INFORMATION ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. PUCK PARTY DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY INFORMATION ON THE SITE, INCLUDING GAME AND STATISTICAL INFORMATION, IS ACCURATE, COMPLETE OR CURRENT.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PUCK PARTY, ITS AFFILIATES, OR ITS OR THEIR OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, SUPPLIERS OR LICENSORS (THE "PUCK PARTY PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF THE PUCK PARTY PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above may not apply to you. In that case, our liability is limited to the smallest amount the law allows.

Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify and hold harmless the Puck Party Parties from and against any claims, liabilities, damages, losses and expenses, including reasonable attorneys' fees, arising out of or relating to your use or misuse of the Site, your violation of these Terms, or your violation of any law or of anyone else's rights.

Dispute resolution and arbitration

Please read this section carefully. It affects your legal rights, including your right to go to court and to take part in a class action.

Informal resolution first. Before starting an arbitration or court case, you and we each agree to try to resolve the dispute informally for at least 30 days. To start, send a written description of the dispute and the relief you want to [email protected] (or, if we start, we will email you at the address we have for you).

Binding individual arbitration. If the dispute is not resolved informally, you and Puck Party agree that any dispute, claim or controversy arising out of or relating to the Site or these Terms (a "Dispute") will be resolved by final and binding arbitration on an individual basis, administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitrator, and not a court, decides all questions about whether a Dispute must be arbitrated, except that a court decides questions about the class-action waiver below. The arbitration will be held remotely or in the county where you live, unless you and we agree otherwise. Payment of fees is governed by the AAA's rules. The Federal Arbitration Act governs this section.

Exceptions. Either party may bring an individual claim in small-claims court if it qualifies. Either party may also ask a court for an injunction or other equitable relief to stop the infringement or misuse of intellectual-property rights or unauthorized access to the Site.

No class actions. YOU AND PUCK PARTY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may award relief only to the individual party seeking it. If this class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) must be severed from the arbitration and brought in court.

30-day opt-out. You may opt out of this arbitration agreement by emailing [email protected] within 30 days after you first agree to these Terms, with the subject line "Arbitration opt-out" and your name and email address. Opting out does not affect any other part of these Terms.

Time limit. To the extent permitted by law, any Dispute must be started within one year after it arose; otherwise it is permanently barred.

Governing law and venue

These Terms and any Dispute are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules, except that the Federal Arbitration Act governs the arbitration section. Any Dispute that is not subject to arbitration will be brought only in the state or federal courts located in Colorado, and you and we consent to their personal jurisdiction and venue.

General

These Terms, together with our Privacy Policy, are the entire agreement between you and Puck Party about the Site and replace any prior agreements on that subject. If any provision of these Terms is found unenforceable, it will be enforced to the maximum extent permissible and the rest of these Terms will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign or transfer these Terms without our prior written consent; we may assign them without restriction, including in connection with a merger, acquisition or sale of assets. Sections that by their nature should survive termination will survive, including those on intellectual property, feedback, disclaimers, limitation of liability, indemnification, dispute resolution and governing law. Headings are for convenience only. "Including" means "including without limitation." We are not liable for any failure or delay caused by events beyond our reasonable control.
